Terms and Conditions
The rules for using this site and for working with us. If you have signed a proposal or agreement with us, that document comes first.
01About these terms
These terms apply to klientsgrowth.com and to the services provided by Scalix KlientsGrowth LLP, a limited liability partnership registered in India, trading as KlientsGrowth ("KlientsGrowth", "we", "us"). "You" means the person using the site or, if you engage us for a business, that business.
By using the site or our services, you agree to these terms. If you engage us under a signed proposal, statement of work, or service agreement (an "Agreement"), the Agreement governs that engagement and these terms cover anything it does not address. If the two conflict, the Agreement wins.
Our Privacy Policy explains how we handle personal data and forms part of these terms.
02Using this website
You may browse, read, and share links to the site for lawful purposes. You agree not to:
- copy, republish, or resell substantial parts of the site, including the signal lists and field notes, without our written permission;
- scrape, crawl, or harvest the site or its contact details by automated means, other than ordinary search engine indexing;
- try to break, overload, or get around the security of the site or the services behind it;
- use the site to send spam, malware, or anything unlawful, or to impersonate anyone.
03Information on the site
The site summarises public records, news, and our own observations. Signal entries describe situations in general terms and are drawn from public sources such as regulator publications. Field notes are opinion. None of it is legal, regulatory, financial, or investment advice, and you should not rely on it as such.
We work to keep the site accurate, but public sources change and we cannot promise that everything is complete or current. Case results and client names shown on the site describe past engagements and do not predict future results.
04Our services
We provide research and introduction services to businesses. Depending on the Agreement, this can include identifying companies that show a relevant need, researching decision-makers, running outreach, qualifying interest, and introducing you to interested parties.
The scope, deliverables, timelines, and fees for each engagement are set out in the Agreement. We decide how to perform the work, including which tools, data sources, and channels to use, while staying within the scope you agreed. We may use subcontractors and service providers, and we remain responsible for their work.
Our services are for businesses only. You confirm you are acting for a business and not as a consumer.
05No guaranteed outcomes
An introduction is the start of a conversation, not a closed deal. Unless the Agreement says otherwise in writing, we do not guarantee any number of meetings, replies, introductions, contracts, revenue, or other results. Whether a deal happens depends on you, the other party, and many things outside our control.
We do not act as your agent, broker, or representative. We cannot sign anything or make commitments on your behalf, and you are free to accept or decline any introduction. We are not a party to any contract you make with someone we introduce, and we are not responsible for that party's conduct or performance.
06Your responsibilities
When you engage us, you agree to:
- give us accurate, complete information about your business, your offer, and the clients you want to reach, and tell us promptly if anything changes;
- make sure that any claims we make on your behalf, based on what you told us, are true and that you are entitled to make them;
- respond to introductions within a reasonable time and treat the people we introduce professionally;
- use any contact details or research we share with you only for the engagement, follow applicable privacy and anti-spam laws (including the GDPR, CAN-SPAM, and India's DPDP Act where they apply), and honour any opt-out requests;
- not ask us to contact anyone in a way that would be unlawful or misleading.
07Fees and payment
- Fees are set out in the Agreement or invoice and may be fixed, monthly, success-based, or a mix.
- Payment is due by the date on the invoice, by bank transfer or another method we accept. Fees are quoted and payable in the currency on the invoice.
- Taxes. Fees exclude taxes unless stated. You are responsible for any taxes, duties, or bank charges on your side of the payment.
- Late payment. If an invoice is unpaid 7 days after it is due, we may pause work until it is paid. We will tell you before we do.
- Refunds. Fees for work already performed or for a billing period that has started are not refundable, unless the Agreement says otherwise or the law requires it.
08Introduced relationships
Our work creates value through the introductions we make. If the Agreement includes a success fee or a non-circumvention clause, it continues to apply to any business you do with a party we introduced, for the period stated in the Agreement, including after the engagement ends and whether or not we are involved in the final deal. You agree not to avoid fees owed to us by dealing with an introduced party directly or through someone else.
09Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the engagement. This does not cover information that is already public, that the receiving party already had or develops independently, or that must be disclosed by law. This obligation lasts for 2 years after the engagement ends, or longer if the Agreement says so.
We may name you as a client and describe the engagement in general terms on our site or in sales material, unless you ask us not to in writing.
10Intellectual property
We own the site, its design, text, graphics, logo, and our research methods, tools, templates, and know-how. Nothing in these terms transfers them to you.
Once you have paid in full, you may use the reports, lists, and other deliverables we create for you for your own internal business purposes during the engagement and afterwards, subject to section 06 and to any limits that apply to third-party data. You keep ownership of your own materials, names, and trademarks, and you give us permission to use them to perform the services.
11Third-party services
The site links to and uses third-party services, such as Cal.com for booking, YouTube for video, and LinkedIn. Those services have their own terms and policies. We are not responsible for their content, availability, or practices.
12Disclaimers
The site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties not expressly set out in these terms or the Agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the site will always be available or free of errors.
We will perform our services with reasonable skill and care. Third-party data, including contact details from data providers, may contain errors, and we cannot guarantee that every piece of it is accurate.
13Limitation of liability
- Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, or data, even if it was foreseeable.
- Our total liability arising from an engagement is limited to the fees you paid us under the Agreement in the 3 months before the event that caused the claim.
- Our total liability arising from your use of the website alone, with no paid engagement, is limited to USD 100.
- Nothing in these terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.
14Indemnity
You agree to cover our reasonable losses and costs, including legal fees, arising from a third-party claim caused by false information you gave us, your breach of section 06, or how you use the contact details and introductions we provide.
15Ending the relationship
Either of us may end an engagement as set out in the Agreement. If the Agreement is silent, either of us may end it with 14 days' written notice, or straight away if the other seriously breaches these terms and does not fix it within 7 days of being told.
When an engagement ends, you pay for work performed up to the end date. Sections 07 to 10 and 12 to 16 continue to apply after it ends. We may suspend or block access to the site for anyone who breaks section 02.
16Governing law and disputes
These terms and any dispute about them are governed by the laws of India. If a dispute comes up, we will first try in good faith to settle it by talking for at least 30 days. If that does not work, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction, unless the Agreement chooses a different forum.
17General
- Changes. We may update these terms. The effective date at the top shows the current version. Changes do not affect an Agreement already signed unless both of us agree in writing.
- Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, such as platform outages, changes to third-party services, or natural disasters.
- Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a reorganisation or sale of our business.
- Severability. If a court finds any part of these terms unenforceable, the rest still applies.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Independent parties. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between us.
- Notices. Notices must be in writing. Email to the address below, or to the address in the Agreement, is enough.
